Ocular Therapeutix held its Annual Meeting of Stockholders on June 11, 2015. The following is a summary of the matters voted on at that meeting.
| (a) | Ocular Therapeutix’s stockholders elected James Garvey and Charles Warden as Class I directors to serve until the 2018 Annual Meeting of Stockholders, each such director to hold office until his successor has been duly elected and qualified.
